These Terms of Service ("Terms") govern your use of DocTrail. By accessing or using the app, you agree to be bound by these Terms. If you do not agree, please do not use DocTrail.
1. Definitions
In these Terms:
- App / DocTrail — the DocTrail mobile application and related software we provide.
- Services — the document storage, organisation, OCR, AI categorisation, reporting and related features offered through the App.
- User / you — any person who creates an account or uses the App.
- Subscription — a paid plan that unlocks additional features (e.g. DocTrail Pro).
- AI Outputs — text, categories, summaries, extracted values and other results produced by automated or AI systems within the App.
2. Acceptance of Terms
By creating an account or using any part of DocTrail, you confirm that you are at least 18 years old, have the legal capacity to enter into this agreement, have read and understood these Terms, and agree to be bound by them.
3. Description of Service
DocTrail provides:
- Document storage and organisation
- Tax-related categorisation and summaries
- AI-assisted data extraction from uploaded documents
- Accountant-ready PDF report generation
4. Availability of Service
We may modify, suspend, discontinue or remove features of DocTrail at any time where reasonably necessary to improve the service, comply with legal requirements, address security issues or maintain system integrity. We will use reasonable efforts to provide notice of material changes where practicable.
We do not guarantee that the Services will be available at all times, uninterrupted or error-free. Maintenance, updates or technical issues may temporarily affect availability.
Beta or experimental features may be offered from time to time. These are provided "as is", may change or be withdrawn, and may be less reliable than standard features.
5. Third-Party Services
DocTrail relies on third-party services to operate, including but not limited to cloud hosting and storage providers, artificial intelligence and OCR providers, payment processors and app store providers (which currently include Google, Anthropic and Apple).
These providers may experience outages, or change their services, AI models or outputs without notice, and this is beyond our reasonable control. We are not responsible for failures, delays or changes caused by third-party services.
6. No Professional Advice
DocTrail is a document organisation tool. Nothing in the app constitutes financial, tax, legal, or accounting advice. DocTrail does not replace:
- A qualified accountant
- A registered tax agent (as defined by the Tax Agent Services Act 2009)
- Any other licensed professional adviser
You remain solely responsible for retaining any records required by the Australian Taxation Office. DocTrail is an organisational aid and should not be relied upon as your sole record-keeping system.
7. User Responsibilities
You agree to:
- Provide accurate and truthful information
- Review all AI Outputs before relying on them
- Ensure your own compliance with Australian tax obligations
- Keep your login credentials secure and confidential
You are solely responsible for:
- The accuracy of your tax return
- Any decisions made based on app outputs
- Consulting a qualified professional where appropriate
8. Acceptable Use
You must not use DocTrail to:
- Upload unlawful, fraudulent, or misleading content
- Engage in any illegal activity
- Attempt to breach or circumvent system security
- Introduce malware, or use automated means to scrape or place excessive load on the service
- Interfere with other users’ use or enjoyment of the Services
- Reverse-engineer, copy, or resell the service
- Upload content that infringes the rights of others
We reserve the right to remove content or suspend accounts that violate these conditions.
9. Subscriptions & Payments
Where paid plans are offered:
- Fees are billed in advance for the applicable period
- Fees are non-refundable except where required by the Australian Consumer Law
- We may change pricing with reasonable notice
- Continued use after a price change constitutes acceptance
We may offer free trials or promotional pricing from time to time. Unless stated otherwise, a subscription will automatically continue at the standard price once any free trial or promotional period ends, unless cancelled beforehand.
Subscriptions may be managed or cancelled through your device's App Store account settings.
10. Account Suspension & Termination
We may suspend or terminate your account if:
- You breach these Terms
- Misuse, fraud, spam or automated scraping is detected
- Your usage poses a security risk or places excessive load on the service
- Payment for a Subscription fails or is reversed
- Required by law or a regulatory authority
You may delete your account at any time from the Settings screen. Upon deletion, your personal information will be deleted or de-identified within a reasonable period in accordance with our Privacy Policy, unless we are required to retain it by law or for the establishment, exercise or defence of legal claims. Residual copies may persist for a limited time in encrypted backups and system logs.
11. Data & Security
You are responsible for:
- Keeping your account credentials secure
- Notifying us immediately of any unauthorised access
- The content of documents you upload
We implement technical and organisational security measures designed to protect your information. However, no system is entirely secure. We recommend using the redaction tool to remove sensitive information from documents before saving.
12. Sensitive Data, Redaction & Storage
DocTrail provides on-device detection and redaction tools to help identify and remove sensitive information in uploaded documents (such as Tax File Numbers, Medicare numbers, bank details, and dates of birth). This detection is provided on a best-effort basis. You acknowledge that:
- Automated detection may not identify all sensitive information, particularly in handwritten, low-resolution, rotated, photographed at an angle, or otherwise degraded documents
- Detection relies on pattern matching and OCR text extraction, which may produce false positives or miss certain formats entirely
- Sensitive data may remain visible in documents even after redaction tools have been applied, if the data was not correctly detected or the redaction box did not fully cover the sensitive area
- DocTrail cannot verify whether a redaction is complete or correct — this responsibility rests solely with you
Because DocTrail is designed to organise tax documents, you acknowledge that documents you upload may contain sensitive personal information, and you consent to DocTrail storing and processing those documents in accordance with the Privacy Policy. This consent is given up-front (at sign-up and before your first scan) and does not depend on automated detection.
Your responsibilities:
- Review your documents and, where you wish, redact sensitive information before uploading, sharing, exporting or sending them to any third party (including your tax agent or accountant)
- Take care when handling documents that contain Tax File Numbers, Medicare card numbers, bank account details, or other sensitive personal information
13. AI Outputs & Automation Disclaimer
DocTrail uses automated systems, including artificial intelligence, to process and analyse documents. You acknowledge that:
- AI Outputs are generated automatically and may be incomplete, inaccurate, outdated or inappropriate for your circumstances
- Document classification, extracted values, and summaries are indicative only and not guaranteed to be accurate
- AI categorisation does not constitute tax advice
- AI Outputs may differ between identical requests due to the probabilistic nature of machine-learning models
- AI providers may change their models or outputs without notice
You must independently verify all information before relying on it, and must not rely solely on DocTrail for tax, financial, or legal decisions.
14. Intellectual Property
You retain ownership of the documents and files you upload. You grant us a limited licence to store and process those documents solely to provide the Services to you.
All other content, design and technology in DocTrail — including the software, user interface, AI prompts, models, algorithms, and DocTrail branding — remains our intellectual property or that of our licensors.
15. Warranties & Disclaimers
Except as required by law (including the Australian Consumer Law), the Services are provided on an "as is" and "as available" basis, and we do not warrant that:
- The Services will be uninterrupted, timely or error-free
- AI Outputs or extracted data will be complete or accurate
- The Services will be fit for any particular purpose
- Defects will be corrected
Nothing in this clause excludes any guarantee, right or remedy that cannot lawfully be excluded.
16. Consumer Guarantees & Your Legal Rights
Nothing in these Terms excludes, restricts, or modifies any consumer rights or guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).
17. Limitation of Liability
To the maximum extent permitted by law, DocTrail is not liable for:
- Errors or inaccuracies in AI-generated categorisation or OCR extraction
- Financial loss or penalties arising from use of the app
- Loss or corruption of data due to device failure or account deletion
- Interruption or unavailability of the service
- Indirect, incidental, special or consequential loss
- Loss of profits, revenue, business, goodwill or opportunity
Where liability cannot be excluded, it is limited to the total amount paid by you for the service in the 12 months preceding the claim, or the minimum amount required by law.
18. Indemnity
You agree to indemnify and hold DocTrail harmless from any claims and reasonably foreseeable losses, liabilities and expenses (including reasonable legal costs) arising from your misuse of the Services or your breach of these Terms, including where you upload content that is unlawful, infringes the rights of others, or that you are not authorised to upload. This indemnity does not apply to the extent a claim arises from our own breach of these Terms or applicable law.
19. General
Force Majeure
We are not responsible for any failure or delay caused by events outside our reasonable control, including cloud or internet outages, cyber attacks, natural disasters, acts of government, telecommunications failures and third-party service interruptions.
Entire Agreement
These Terms, together with our Privacy Policy, form the entire agreement between you and DocTrail regarding the Services.
Assignment
You may not transfer your rights under these Terms. We may transfer or assign these Terms to another entity, for example as part of a merger, acquisition or sale of the business.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Survival
Clauses that by their nature should survive termination — including those relating to intellectual property, limitation of liability, indemnity, privacy and dispute resolution — survive termination of these Terms or your account.
Electronic Communications
You agree that we may provide notices, disclosures and other communications to you electronically, including by email or through the App.
20. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via the app or by email. Continued use of DocTrail after changes are published constitutes your acceptance of the updated Terms.
21. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and any courts entitled to hear appeals from those courts.
