DocTrail — Terms of Service

These Terms of Service ("Terms") govern your use of DocTrail. By accessing or using the app, you agree to be bound by these Terms. If you do not agree, please do not use DocTrail.

DocTrail is NOT a registered tax agent and does not provide financial, legal, or tax advice. All outputs are for organisational and reference purposes only.

4. Availability of Service

We may modify, suspend, discontinue or remove features of DocTrail at any time where reasonably necessary to improve the service, comply with legal requirements, address security issues or maintain system integrity. We will use reasonable efforts to provide notice of material changes where practicable.

We do not guarantee that the Services will be available at all times, uninterrupted or error-free. Maintenance, updates or technical issues may temporarily affect availability.

Beta or experimental features may be offered from time to time. These are provided "as is", may change or be withdrawn, and may be less reliable than standard features.

5. Third-Party Services

DocTrail relies on third-party services to operate, including but not limited to cloud hosting and storage providers, artificial intelligence and OCR providers, payment processors and app store providers (which currently include Google, Anthropic and Apple).

These providers may experience outages, or change their services, AI models or outputs without notice, and this is beyond our reasonable control. We are not responsible for failures, delays or changes caused by third-party services.

DocTrail is a document organisation tool. Nothing in the app constitutes financial, tax, legal, or accounting advice. DocTrail does not replace:

9. Subscriptions & Payments

We may offer free trials or promotional pricing from time to time. Unless stated otherwise, a subscription will automatically continue at the standard price once any free trial or promotional period ends, unless cancelled beforehand.

Subscriptions may be managed or cancelled through your device's App Store account settings.

We may suspend or terminate your account if:

Upon deletion, your personal information will be deleted or de-identified within a reasonable period in accordance with our Privacy Policy, unless we are required to retain it by law or for the establishment, exercise or defence of legal claims. Residual copies may persist for a limited time in encrypted backups and system logs.

12. Sensitive Data, Redaction & Storage

DocTrail provides on-device detection and redaction tools to help identify and remove sensitive information in uploaded documents (such as Tax File Numbers, Medicare numbers, bank details, and dates of birth). This detection is provided on a best-effort basis. You acknowledge that:

Because DocTrail is designed to organise tax documents, you acknowledge that documents you upload may contain sensitive personal information, and you consent to DocTrail storing and processing those documents in accordance with the Privacy Policy. This consent is given up-front (at sign-up and before your first scan) and does not depend on automated detection.

DocTrail's detection system may miss sensitive data in handwritten, low-quality, or complex documents. Always review your documents carefully before saving or sharing with others.

DocTrail uses automated systems, including artificial intelligence, to process and analyse documents. You acknowledge that:

14. Intellectual Property

You retain ownership of the documents and files you upload. You grant us a limited licence to store and process those documents solely to provide the Services to you.

All other content, design and technology in DocTrail — including the software, user interface, AI prompts, models, algorithms, and DocTrail branding — remains our intellectual property or that of our licensors.

15. Warranties & Disclaimers

Except as required by law (including the Australian Consumer Law), the Services are provided on an "as is" and "as available" basis, and we do not warrant that:

16. Consumer Guarantees & Your Legal Rights

Nothing in these Terms excludes, restricts, or modifies any consumer rights or guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).

Nothing in these Terms limits our obligations under applicable law, including the Privacy Act 1988 (Cth) and the Australian Consumer Law. Where these Terms ask you to accept responsibility or risk, this does not apply to loss or harm caused by our own failure to exercise due care or to comply with applicable law.

To the maximum extent permitted by law, DocTrail is not liable for:

Where liability cannot be excluded, it is limited to the total amount paid by you for the service in the 12 months preceding the claim, or the minimum amount required by law.

18. Indemnity

You agree to indemnify and hold DocTrail harmless from any claims and reasonably foreseeable losses, liabilities and expenses (including reasonable legal costs) arising from your misuse of the Services or your breach of these Terms, including where you upload content that is unlawful, infringes the rights of others, or that you are not authorised to upload. This indemnity does not apply to the extent a claim arises from our own breach of these Terms or applicable law.

Force Majeure

We are not responsible for any failure or delay caused by events outside our reasonable control, including cloud or internet outages, cyber attacks, natural disasters, acts of government, telecommunications failures and third-party service interruptions.

Entire Agreement

These Terms, together with our Privacy Policy, form the entire agreement between you and DocTrail regarding the Services.

Assignment

You may not transfer your rights under these Terms. We may transfer or assign these Terms to another entity, for example as part of a merger, acquisition or sale of the business.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Survival

Clauses that by their nature should survive termination — including those relating to intellectual property, limitation of liability, indemnity, privacy and dispute resolution — survive termination of these Terms or your account.

Electronic Communications

You agree that we may provide notices, disclosures and other communications to you electronically, including by email or through the App.

20. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via the app or by email. Continued use of DocTrail after changes are published constitutes your acceptance of the updated Terms.

21. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and any courts entitled to hear appeals from those courts.
